MEANING
Limited Liability Partnership (LLP) is a business entity registered under LLP Act, 2008. It is a hybrid form of partnership firm and a Company registered under Companies Act, 2013. The concept of LLP was introduced to combine the benefits of a Company’s limited liability and the applicability of lesser compliances in case of a Partnership Firm. It can be formed with a minimum of two partners and one partner will not be liable for the misconduct of another partner which makes it different from traditional partnership firm.

PROCEDURE FOR PUBLIC LIMITED REGISTRATION

- Submission of Documents: You need to submit all the requisite documents for initiating the process of LLP registration
- Get name approval certificate: You will get Name approval certificate within 2-3 working days from the date of receiving all the requisite documents and information

Who can become a partner in LLP?
Any individual, Foreign national or Company can become a partner in LLP provided that a Company can not become Designated Partner in LLP.
What is the difference between partner and designated partner in LLP??
A Designated Partner is responsible for day to day affairs of the Company and also for all the acts or omissions on the part of LLP while Partner are not responsible for such acts instead they make a contribution in LLP.
What are the minimum number of partners required to start or run a LLP??
Atleast 2 Designated Partners or Partners are required to start a LLP. Further, Designated Partners and Partners can also be the same person.
What is LLP agreement??
It is an agreement made between partners of LLP to set out all the terms and conditions related to LLP. That agreement has to be filed within 30 days of its incorporation as stated above.
How much contribution is required for starting LLP??
There is no cap on minimum contribution required to start a LLP. One can start a LLP with any amount of contribution.
What shall be the consequences if we fail to file LLP agreement within 30 days from the date of its incorporation??
A penalty of Rs. 100 per day has to be levied if you fail to file LLP agreement within due time. Also, you can not do any compliances without filing LLP agreement.
Do I need to be physically present during the registration process of LLP??
